Terms of Service – Introduction

Welcome to NspiredED, Inc. (“NspiredED,” “Company,” “we,” or “us“). These Terms of Service (“Terms”) outline the agreement between NspiredED and you—whether as an individual user or, where applicable, on behalf of a company, institution, or other legal entity using our services (“Services”).

Competitive Use Restriction: If you are a direct competitor of NspiredED, you may not access our Services without our prior written consent. Additionally, unless explicitly authorized in writing, you are prohibited from using our Services for the purpose of monitoring availability, performance, functionality, benchmarking, or any other competitive analysis.

Agreeing to Our Terms

Thank you for your interest in NspiredED, Inc. (“NspiredED,” “Company,” “we,” or “us“), which owns and operates NspiredED.com and its associated applications and services (collectively, the “Service” or “Services“).

By using the Service, you agree to abide by these Terms of Service (“Terms“) and our Privacy Policy, along with any applicable guidelines, policies, or rules (collectively, the “Agreement”). If you do not agree with these terms, you may not access or use our Service.

If you are using the Service on behalf of a company, educational institution, or other legal entity, you affirm that you have the authority to bind such an entity to this Agreement. If you do not have such authority, you must not accept these Terms or use the Service.

We reserve the right to monitor your account usage to ensure compliance with this Agreement. Violation of these Terms may result in account termination, legal action, and financial penalties at our discretion. Additionally, we reserve the right to refuse or terminate accounts at any time.

Educational Institutions & Compliance Responsibilities

Educational institutions using NspiredED must ensure compliance with applicable privacy laws, including obtaining necessary parental or guardian consent when required.

U.S. Educational Institutions (COPPA & FERPA Compliance)
  • The Children’s Online Privacy Protection Act (COPPA) requires parental consent for collecting personal information from children under 13. However, in an educational setting, schools may act as an agent for parental consent (“School Consent”). The Family Educational Rights and Privacy Act (FERPA) prohibits schools from disclosing student records without consent, unless NspiredED is classified as a “school official” performing institutional functions.

European Educational Institutions (GDPR/UK GDPR Compliance)
  • Under the General Data Protection Regulation (GDPR), minors can only provide valid consent for data processing if they are 16 or older (or a lower age set by their country, but not below 13).
  • Schools are considered data controllers under GDPR, responsible for ensuring proper data protection measures, obtaining appropriate consent, and informing students and parents about data collection and processing.

For further guidance on GDPR and UK GDPR compliance, schools should consult their Data Protection Officer (DPO) or legal counsel.

By using NspiredED, you acknowledge and agree to these Terms, confirming your compliance with applicable privacy laws and regulations.

Privacy Policy & Account Security

Privacy Commitment

Your privacy is of the utmost importance to us. We are committed to collecting only the necessary information required to provide and improve our Services while ensuring transparency in how your data is used. Please review our Privacy Policy, which details how we collect, use, store, and protect your personal information. By using our Service, you acknowledge and agree that NspiredED may process your data in accordance with our Privacy Policy.

Account Creation, Use & Security

To access and use certain features of the Service, you may be required to create an NspiredED account with a username, password, and additional contact information (“Login Credentials”). By creating and using an account, you affirm, acknowledge, and agree to the following:

  • You must provide accurate, truthful, and complete information and update it as necessary to maintain its accuracy. Each account is for individual use only.
  • Teacher Accounts are strictly for individual educators who have reached the legal age of adulthood in their jurisdiction.
  • You may not share your account or Login Credentials with any other person or entity, nor permit unauthorized access to your account.
  • You are solely responsible for maintaining the confidentiality of your Login Credentials and all activities conducted under your account. Any unauthorized use of your account must be reported to us immediately.
  • You may not create an account under another person’s name or impersonate any individual. Likewise, creating an account on behalf of someone else without their explicit permission is prohibited.
  • Account transfers to another person or entity are strictly prohibited without prior written consent from NspiredED.

In the event of unauthorized account usage, we reserve the right to take necessary action, including but not limited to temporary or permanent suspension of your account. If we detect account sharing of premium features (including Gold Teacher Accounts), we reserve the right to charge additional fees or subscription costs equivalent to the number of unauthorized users accessing the account. Additional penalties or fees may also apply for violations of these terms.

By using our Service, you agree to comply with these security measures and understand that failure to do so may result in account suspension, termination, or additional charges.

Using the Service

By accessing and using NspiredED, you agree to comply with the terms and conditions outlined in this Agreement. Subject to these terms, NspiredED grants you permission to access and use the Service you select through the applicable sign-up process.

Service Availability & Modifications

Our Service is intended for personal, non-commercial use. As we continually improve and refine our Services, we may introduce, modify, or discontinue certain features at our discretion. We reserve the right to:

  • Add, remove, or modify functionalities and features.
  • Suspend or terminate access to the Service if you fail to comply with this Agreement or if misconduct is suspected.
  • Impose new limits, restrictions, or fees on certain aspects of the Service at any time without prior notice or liability.

If you decide to discontinue using our Service, you may do so at any time, though we will regret seeing you go.

Service Fees & Restrictions

Access to certain NspiredED Services is currently offered free of charge. However, we reserve the right to introduce premium features in the future that may require payment. Your right to access and use the Service is subject to applicable laws, and access may be restricted or revoked in jurisdictions where its use is prohibited.

No Service Guarantee

Nspireded is under no obligation to provide its services. It is the sole responsibility of the teacher, educational institution, or organization to ensure they can conduct teaching and/or teaching-related activities without relying on the Nspireded service.

By using NspiredED, you acknowledge and accept that service availability may change at any time. It is your responsibility to make necessary arrangements to continue your activities in the event of service modifications, restrictions, or discontinuation.

Your Pledge

By using NspiredED, you affirm, acknowledge, and agree that you will not submit any content (“User Submissions”) or use the Service in a manner that:

  1. Infringes upon, violates, or misuses another party’s intellectual property rights, rights of publicity, privacy rights, or any other legal rights.
  2. Violates any applicable international, federal, state, or local law, statute, ordinance, or regulation, or causes NspiredED to be in violation of any such laws or regulations.
  3. Contains content that is harmful, fraudulent, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable.
  4. Jeopardizes the security of your account by sharing access, disclosing your login credentials, or allowing unauthorized use of your account.
  5. Breaches any other terms and conditions set forth in this Agreement.

Additionally, you affirm, acknowledge, and agree that you hold all necessary rights to your User Submissions and grant NspiredED the rights to use them as outlined in this Agreement.

Service Fees & Restrictions

Additionally, you affirm, acknowledge, and agree that you hold all necessary rights to your User Submissions and grant NspiredED the rights to use them as outlined in this Agreement.

Your Information and Content

As you use NspiredED, you and other users may provide or post certain content or information (“User Submissions”), which NspiredED may use to operate and enhance the Service. Some User Submissions may be visible to other users, and when an educational institution uses the Service to manage student Educational Records, certain submissions may be classified as part of those records (as detailed in the “FERPA and Student Data” section below).

You retain full ownership rights to your User Submissions, and NspiredED does not claim ownership over them. However, if your educational institution, company, or organization has purchased a Pro license and provided you access to Pro features, ownership of intellectual property related to your content may be governed by your employment agreement or the organization’s internal policies. NspiredED is not responsible for decisions made by your institution, company, or organization regarding ownership of content associated with your account. Any disputes regarding ownership should be directed to the institution, company, or organization—not NspiredED.

Furthermore, NspiredED will not process deletion requests for Teacher Accounts or teacher-generated content made by an educational institution, company, or organization. Such matters should be handled internally according to institutional policies or employment agreements.

License to Use Your Content

To enable NspiredED to provide its Service, you grant us a limited, non-exclusive, sublicensable (as necessary to provide the Service), worldwide, royalty-free, and transferable (only to a successor) license to:Lorem ipsum dolor sit amet, consectetur adipiscing elit.   • Use, store, distribute, publicly display, modify, and create derivative works from User Submissions as needed to provide, improve, and make the Service available to you and others, including through future media formats.
  • Analyze and disclose aggregated, non-personally identifiable data derived from User Submissions for purposes such as improving the Service, marketing, and business development.
  • Use de-identified User Submissions (including de-identified Educational Records) for product development, research, or other purposes.
  • Process User Submissions as outlined in our Privacy Policy.

You are responsible for ensuring that you have the necessary rights to submit your content and grant these licenses to NspiredED.

Content Deletion & Retention

The above license will terminate when you delete User Submissions that include intellectual property rights (e.g., photos, videos) or personal information, or when your institution deletes an Educational Record. However, if your content has been shared with others who have not deleted it, or if it remains part of an Educational Record still under institutional control (e.g., co-teaching scenarios), it may persist.

If you wish to delete videos containing personal identifying information, please refer to the “How can I delete my account?” section in our Privacy Policy and follow the steps for requesting removal. When you delete content, it is removed in a manner similar to emptying a computer’s recycle bin. However, residual copies may persist in backups for a reasonable time, though they will not be accessible to others.

User Responsibility & Content Access

All content posted or transmitted through the Service is the responsibility of the user who provided it. NspiredED is not liable for errors, omissions, or inaccuracies in any content. Additionally, while we take measures to authenticate users, we cannot guarantee the identity of individuals you interact with while using the Service. However, our system ensures that student user accounts can only interact with their assigned teacher, preventing direct student-to-student interactions.

By using the Service, you acknowledge that all content accessed is at your own risk, including ensuring its appropriateness for your intended use. You are solely responsible for any damage or loss resulting from such access.

Content Moderation & Automated Processing

NspiredED does not guarantee that all User Submissions will be published and reserves the right to remove content at any time, for any reason, at our sole discretion, without liability. Our automated systems analyze User Submissions (including emails) to provide relevant product features, such as customized search results, spam filtering, and malware detection. This analysis occurs during transmission, receipt, and storage.

NspiredED will not analyze Educational Records for behaviorally-targeted advertising, but this does not limit our ability to use them for adaptive learning or customized student learning purposes.

We always welcome your feedback and suggestions about NspiredED, but you understand that we may use them without obligation to compensate you.

Ownership of NspiredED Teacher Accounts

Your NspiredED account belongs to you, regardless of the email address used during registration. However, if your educational institution, organization, or company disables your email address and you can no longer log in, NspiredED will not be able to recover your account.

If you access the Service through a Pro license purchased by another party (e.g., your school or employer for teaching purposes), that paying entity has the right to manage access to the paid features and receive usage reports related to them. However, they do not have ownership or control over your personal account.

Additional Terms by User Types

For Students

If you are a student using the NspiredED Service at the invitation of a teacher or school official, the following terms apply:

  • Only students invited by a teacher, school, or district may use the Service. Unauthorized access is not permitted.
  • We collect minimal personal information from students, as outlined in our Privacy Policy. Students should not provide any additional personal information beyond what is requested during sign-up.
  • Under the Children’s Online Privacy Protection Act (COPPA), online services cannot knowingly collect personally identifiable information from children under 13 years of age without verifiable parental consent or notice where applicable. NspiredED only collects, uses, shares, and retains student information as authorized by the educational institution, agency, or teacher.
For Teachers, Aides, and Trainers
  • You acknowledge that COPPA restricts the collection of personal information from children under 13 years old without parental consent. We collect, use, share, and retain student information only as authorized by the educational institution or teacher.
  • You confirm that your Institution has provided consent (“School Consent”) for children under 13 to use the Service. If parental consent is required by law, you or the Institution must:
    • Distribute and collect valid consent forms from parents before granting student access.
    • Maintain a record of received consent forms.
    • Immediately notify NspiredED if a parent revokes consent, ensuring the student’s access is discontinued and their data is no longer available.
  • You agree that you are authorized to enter into this Agreement on behalf of your Institution and to use the Service as part of your curriculum.
  • You are responsible for managing and updating your student list, ensuring students are only retained in your classroom as needed for educational purposes.
  • To ensure privacy, security, and optimal performance, you will instruct students to use the latest version of the NspiredED app available on the Apple App Store or Google Play Store.

Only current employees of the Institution may use the Service on its behalf. If a teacher, aide, trainer, or staff member leaves the Institution, they must:

  • Cease using all login credentials and student access immediately.
  • Return all student records and related access credentials as per institutional policies.

NspiredED is not responsible for any misuse of the Service by Institution personnel or for any failure of staff to return or discontinue access to student data or login credentials upon employment termination.

Co-Teaching

Any disputes arising between teachers participating in a co-teaching class must be resolved among themselves or with the intervention of their educational institution, company, or organization. NspiredED will not intervene in such conflicts and holds no liability for any misconduct by teachers in a co-teaching class.

By setting up a co-teaching class within the Service, all participating co-teachers agree to be equally and solely responsible for managing the class, as outlined in the Co-Teaching section of our Privacy Policy.

FERPA and Student Data

Certain student-related information provided to NspiredED by school personnel may be considered an Education Record under the Family Educational Rights and Privacy Act (FERPA). Other information, such as a student’s name and grade level, may be classified as Directory Information, which is not considered an Education Record.

Under FERPA:

  • Schools cannot disclose personally identifiable information from a student’s Education Records without written consent from a parent or eligible student, unless an exemption applies.
  • Exemptions include the Directory Information Exemption (allowing disclosure of designated student information) and the School Official Exemption (permitting disclosures to school officials with a legitimate educational interest).

As school personnel or an Institution providing Directory Information or Education Records to NspiredED, you acknowledge and affirm that your Institution has:

NspiredED will not share Education Records with third parties except:

  1. At the direction of an authorized user (e.g., a teacher sharing records with another teacher or parent).
  2. With third-party service providers required for operating the Service, as outlined in our Privacy Policy.

Additionally:

  • Education Records are never used or disclosed for third-party advertising or any form of behaviorally targeted advertising.
  • Personal information collected directly from students is never sold, rented, or disclosed for marketing purposes.
  • NspiredED may use de-identified student data for research, product development, or improvement. All personal identifiers will be removed, and NspiredED will not attempt to re-identify this data or transfer it to third parties unless they agree to the same restrictions.

GDPR/UK GDPR and Minors

Under Article 8 of the General Data Protection Regulation (GDPR), minors can only give valid consent for data processing if they are 16 years or older, unless a lower age limit (not below 13 years) has been set by a Member State. Similarly, in the UK, online services must obtain parental consent for children under 13 years old, as per the UK Data Protection Act 2018.

By using NspiredED, you affirm that you or your Institution have obtained all necessary parental or eligible student consent when consent is the lawful basis for processing student data, solely to enable the operation of the Service.

Technology and Copyright

The NspiredED Technology and Service are designed exclusively for personal, non-commercial use and must be utilized in accordance with this Agreement.

Ownership and Intellectual Property

“NspiredED Technology” refers to all aspects of the Service, including but not limited to:

  • Proprietary software, hardware, and third-party technology used to provide the Service
  • User interfaces and displayed materials such as videos, text, graphics, articles, photographs, images, and illustrations
  • The design, structure, sequence, and overall “look and feel” of the Service
  • NspiredED Marks (trademarks, service marks, logos, trade names, and other proprietary brand features)
  • NspiredED Originals (customized video lessons created by NspiredED)

All elements of the NspiredED Technology are protected by copyright and other intellectual property laws.

Usage Restrictions

You are prohibited from:

  • Copying, reproducing, modifying, translating, publishing, broadcasting, transmitting, distributing, or performing any part of the NspiredED Technology unless expressly permitted under this Agreement.
  • Creating derivative works, licensing, selling, or otherwise exploiting NspiredED Technology.
  • Decompiling, reverse-engineering, or attempting to access the source code of any NspiredED Technology.
  • Using the Service in any way that infringes on NspiredED’s intellectual property rights.

Your use of the Service does not grant you ownership of any intellectual property rights within NspiredED Technology. Any unauthorized use of NspiredED Marks or NspiredED Originals is strictly prohibited. Additionally, you must not remove, obscure, or alter any copyright or legal notices displayed on or within the Service.

You may download a single copy of the NspiredED App for personal, non-commercial use only.

Use Restrictions & User Responsibilities

NspiredED strives to provide a safe and secure platform, but maintaining this requires user cooperation. By using the Service, you agree to the following:

Security & Integrity
  • Use the Service only in compliance with the law.
  • Do not share, sell, or transfer your Login Credentials to any person or entity.
  • Keep your Login Credentials confidential and report any unauthorized access immediately.
  • Do not attempt to collect or access the personal data of other users without their consent.
  • Do not upload viruses, malicious code, or engage in any activity that could harm the platform.
  • Do not use automated tools (such as bots, scrapers, or spiders) to collect information from the Service.
Content & Conduct
  • Do not post or distribute unauthorized commercial content (spam, advertisements, etc.).
  • Do not impersonate NspiredED employees or misrepresent your affiliation with any entity.
  • Do not engage in bullying, harassment, intimidation, or any behavior that threatens or harms others.
  • Do not post or share:
    • Hate speech, discriminatory content, or explicit/violent material.
    • Copyrighted content without permission from its rightful owner.
    • Political propaganda or misleading information.
Prohibited Activities
  • Do not engage in unlawful marketing schemes (e.g., pyramid schemes).
  • Do not misuse the Service in any way that disrupts other users’ access.
  • Do not attempt to disable or impair the platform through denial-of-service attacks or interference.
  • Do not use the Service for commercial exploitation in a way that undermines NspiredED’s reputation.
  • Do not facilitate or encourage violations of this Agreement.
Student Account Policy

Students using the Service at the direction of an educational institution or teacher may not create Teacher Accounts unless explicitly permitted by NspiredED.

Violating any of these policies may result in restricted access or permanent termination of your account, as outlined in the “Account Bans” section.

Content Moderation and Removal

To uphold the integrity of our Service, all uploaded videos undergo a combination of automated and manual review to ensure compliance with our Agreement and to maintain a safe and respectful environment.

Moderation Process

  • All videos are monitored and filtered before being made available to users.
  • Videos flagged for containing inappropriate content will be removed from the Service and will not be available for assignment or viewing.
  • NspiredED reserves the right to remove content at its discretion, without liability to the uploader.
Reporting Inappropriate Content

While we strive for accuracy in content moderation, no system is flawless, and some content may be overlooked. If you encounter a video that you believe violates our guidelines, please report it by emailing Customer Support at [email protected].

Account Bans

To maintain a safe and respectful community, NspiredED enforces strict moderation policies. If your account is found to have violated our rules, it may be subject to suspension or a permanent ban, depending on the severity of the offense.

  • Suspension: A temporary restriction on your account, after which access may be restored.
  • Ban: A permanent action that cannot be lifted, preventing any future access to NspiredED.

If your account has been suspended or banned, you will be unable to sign in. For more information, you may contact Customer Support at [email protected]. While we will provide a general reason for the action taken, we do not engage in further discussion or appeals. All bans and suspensions result from a thorough review by our moderation team. Therefore, all decisions are final and non-disputable.

Pricing, Billing, and Cancellation

Platinum School Plans and Other Services

Platinum School plans and other service subscriptions are subject to the terms specified in issued quotes and invoices. Any aspects not explicitly covered in these documents shall be governed by these Terms of Service.

  • Subscription fees for the NspiredED Platinum School Plan and other services, including applicable taxes and potential transaction fees, are charged as a one-time payment for a one-year subscription (“Initial Term”).
  • The subscription automatically renews for successive one-year periods (“Renewal Term”) unless otherwise agreed upon in writing between NspiredED and the purchasing educational institution, company, or organization.
  • To the extent permitted by law, all fees paid for services, including the Platinum School Plan, are non-refundable.
  • NspiredED does not provide refunds or credits for purchased services.
Gold Teacher Plans

This section outlines the subscription fees for the NspiredED Gold Teacher Plan:

  • Billing Cycle: Subscription fees for the Gold Teacher Plan, along with any applicable taxes and transaction fees, will be charged monthly to your selected payment method on the same calendar day that your paid subscription began. You can view your next payment date under the “Payments” section on the “Plan” page of our website.
  • Authorization Requests: To verify your payment method, a $0 or $1 authorization request may be sent to your issuing bank. This is not a charge and will automatically disappear within a few minutes to a few weeks, depending on your bank.
  • Cancellation: You may cancel your Gold Teacher Plan at any time. Your premium access will remain active until the end of your current billing period. Payments are non-refundable, and no refunds or credits will be issued for partial-month subscriptions.
    • To cancel, visit the “Plan” page and follow the cancellation instructions.
    • Upon cancellation, your premium access will be revoked at the end of your billing period.
    • If you change your mind before your billing cycle ends, you can reactivate your subscription by selecting “Reactivate” on the Plan page.
    • Deleting your NspiredED account will also result in automatic cancellation of your subscription.
  • Price and Plan Changes: NspiredED reserves the right to update subscription plans and pricing. Any changes will take effect no sooner than 30 days after you receive notice.
  • Upgrading to a Platinum School Plan: If your educational institution, company, or organization purchases a Platinum School Plan and provides you with a license, your Gold Teacher Plan will be automatically canceled at the end of your current month. Your account will then be integrated into the Platinum School Plan.
  • Electronic Communications: All billing-related communications (such as invoices and renewal notices) will be sent electronically to the verified email address associated with your account.
  • Receipts: You can download detailed payment history, including billing amounts, addresses, and payment dates, in the “Plan” page under “Payments”.

Miscellaneous

Social Media

NspiredED may integrate features that allow you to interact with our service through Linked Accounts, such as social media networks or cloud storage services. If you choose to use these features, you grant NspiredED permission to access and use your  Linked Account for processing your requests. Your use of Linked Accounts  is subject to the terms of the respective third-party services.

Indemnity

You agree to indemnify, defend, and hold harmless NspiredED, its parent companies, partners, subsidiaries, affiliates, officers, and employees from any damages, liabilities, losses, settlements, costs, and expenses (including reasonable attorney fees) arising from:

  1. Your use, misuse, or access of the Service.
  2. Your violation of this Agreement, including failure to obtain necessary consents or compliance with applicable laws and regulations.
  3. Any infringement by you (or anyone using your account) of intellectual property or any other rights of a third party, including User Submissions.
Copyright Protection

NspiredED is committed to protecting intellectual property rights and complies with the Directive (EU) 2019/790 on Copyright and Related Rights in the Digital Single Market, as well as the Digital Millennium Copyright Act (“DMCA”). We respond promptly to notices of alleged copyright infringement that adhere to these regulations.

If you believe that your copyrighted work has been posted on NspiredED without authorization, you may submit a copyright infringement notification. The fastest and most efficient way to do so is by completing the form available at the bottom of this article in our Help Center. The completed and signed form should be sent to [email protected]. Third-Party Integrations, Websites, and User Interactions

The NspiredED platform may integrate with third-party applications or tools to enhance user experience. By using these integrations, you acknowledge that the following third-party services are governed by their respective terms and policies:

  • YouTube API – Access and browse YouTube videos via NspiredED (governed by YouTube Terms of Service).
  • Explain Everything – Use interactive whiteboard features, including screen recording (governed by Explain Everything Terms of Use).
  • Google Classroom – Manage student progress and classroom activities (governed by Google Terms of Service).
  • Microsoft Teams – Collaborate using chat, document sharing, and virtual meetings (governed by Microsoft Terms of Use).
  • Clever – Utilize single sign-on (SSO) for classroom technology (governed by Clever Terms of Service).
  • ClassLink – Manage identity and access for educational tools (governed by ClassLink Terms of Service).
  • Learning Management Systems (LMS) – NspiredED-compatible LMS platforms (Canvas, Schoology, Moodle, Blackboard, PowerSchool, Blackbaud) are subject to their respective terms of service.

Additionally, NspiredED may include links to third-party websites not owned or controlled by us. By accessing these sites or interacting with third parties through our platform, you do so at your own risk. NspiredED assumes no responsibility for the content, accuracy, privacy policies, or practices of third-party sites.

User Interactions and Disputes
  • User Responsibility: You are solely responsible for interactions with other users and third parties through the NspiredED platform. We do not monitor or guarantee the behavior, information, or data shared by other users.
  • No Obligation to Intervene: NspiredED reserves the right, but is not obligated, to become involved in disputes between users.
  • Release of Liability: If you have a dispute with one or more users, you release NspiredED and its affiliates, officers, directors, employees, and agents from any claims, demands, and damages arising from such disputes, including loss of profits, goodwill, data, or privacy violations.
  • California Residents: If you are a California resident, you expressly waive California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which, if known, would have materially affected their settlement with the debtor or released party.” If you reside outside of California, you waive any similar applicable state statutes.

By using the NspiredED platform, you agree to comply with these copyright policies and terms regarding third-party integrations, user interactions, and dispute resolution.

Publicity

By using NspiredED’s services, you grant NspiredED the right to use your company, institution, or legal entity’s name and logo for marketing and promotional purposes, in accordance with your provided branding guidelines. If you prefer not to be included as a reference, you may opt out by emailing [email protected].

Prize Draws and Promotions

NspiredED may periodically organize sweepstakes, contests, or other promotional activities (“Promotions”). Participation is voluntary and governed by separate terms or rules provided at the time of the Promotion. By participating, you agree to abide by those terms. Unless explicitly stated otherwise in the Promotion’s terms, the NspiredED Terms of Service and Privacy Policy will apply.

Export Compliance

The use of NspiredED services is subject to U.S. laws governing import, export, and usage restrictions. You agree not to export, re-export, transfer, or allow access to our services by any individual or entity:

(i) located in a country or region subject to U.S. territorial sanctions;
(ii) listed on the U.S. Department of Treasury’s List of Specially Designated Nationals or similar U.S. government lists; or
(iii) owned or controlled by individuals or governments subject to comprehensive sanctions (collectively, “Restricted Parties”).
By accessing our services, you confirm that neither you nor the entity you represent is a Restricted Party.

Modifications to the Agreement

NspiredED may update these Terms to reflect changes in laws or services. We will notify you of significant changes via this page and/or through email (using your registered email address). Changes become effective either upon your continued use of the services or after 30 days from the posting date, whichever occurs first. Changes related to new features or legal compliance take effect immediately. If you disagree with the modified terms, you must discontinue use of the service. NspiredED will not alter how Education Records are used or shared under these Terms without prior notice and consent from the relevant school or institution.

Termination

T

his Agreement remains in effect while you use the Service. You may terminate your account at any time via your account settings or by contacting [email protected]. Parents and students must contact NspiredED through an authorized school official. NspiredED reserves the right to suspend or terminate your account for any reason, with or without notice, which may result in the loss of associated information. Upon termination, your right to use the Service ceases immediately. Certain provisions, including ownership rights, warranty disclaimers, and liability limitations, will survive termination.

Dispute Resolution

(A)Arbitration:To resolve disputes efficiently, both parties agree to binding arbitration, covering all claims related to these Terms, the Privacy Policy, or future modifications. By agreeing, both parties waive the right to a jury trial or class action participation.

(B) Exceptions: This arbitration clause does not prevent either party from pursuing individual claims in small claims court, regulatory enforcement actions, seeking injunctive relief, or filing intellectual property infringement claims in court.

(C) Arbitration Rules: Arbitration will be conducted under the American Arbitration Association (AAA) rules. Information is available at www.adr.org or by calling 1-800-778-7879.

(D) Notice Requirement: Before initiating arbitration, a written dispute notice must be sent via certified mail or email. Notices should be addressed to: NspiredED, Inc. 5173 Waring Rd, Suite 54, San Diego, CA 92120, USA

(E) Fees: NspiredED will reimburse arbitration filing fees unless the claim exceeds $10,000, in which case fees will be allocated per AAA rules. Arbitration hearings will take place in San Diego, California, unless otherwise agreed. If a claim is deemed frivolous, the initiating party must cover the fees.

(F) No Class Actions: Both parties agree to bring claims only in their individual capacity. Arbitration cannot be consolidated with other cases.

(G) Governing Law & Venue: California law governs these Terms. If arbitration is unenforceable, disputes must be litigated exclusively in San Diego, California.

(H) Severability: If any provision is found invalid, it shall be adjusted as necessary, without affecting the validity of remaining provisions.

(I) Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.

NspiredED strives to provide high-quality services but does not guarantee uninterrupted or error-free operation. Services are provided “as is,” without warranties of any kind, including merchantability, fitness for a specific purpose, or non-infringement.

Disclaimer on AI-generated Content

NspiredED may use AI to generate content, such as lesson scripts for NspiredED Originals. While all AI-generated content undergoes human review, its AI involvement is disclosed. By using our services, you acknowledge and accept AI’s role in content creation.

Disclaimer of Warranties for Content

NspiredED disclaims all warranties regarding the suitability, accuracy, and compliance of provided content, including educational materials. It is your responsibility to verify that the content meets legal, regulatory, and educational standards applicable to your needs.

Limitation of Liability

 NspiredED is not liable for indirect, incidental, special, or consequential damages, including loss of profits, goodwill, data, or other intangibles, arising from service use. Total liability for all claims will not exceed the amount paid for service use in the past 12 months. These limitations apply to the fullest extent permitted by law.

Premium Content Packs

These Premium Content Packs Supplementary Terms (“Premium Content Packs Terms”) are part of NspiredED’s Terms of Service and apply to your use of the Premium Content service (“Premium Content” or “Premium Content Pack(s)”), which may include NspiredED Originals. NspiredED Originals are customizable video lessons curated by NspiredED. Some NspiredED Originals may be available at no cost, though access may be subject to geographic restrictions. Others require a Premium Content subscription. The availability of NspiredED Originals at no cost is solely at NspiredED’s discretion.

Unless otherwise stated in these Premium Content Packs Terms, the general Terms of Service apply, including provisions under “NspiredED Technology and Content Copyright” and “Disclaimer of Warranties for Content.”

Licensing Terms

When you subscribe to a Premium Content Pack, you receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use, modify (only within the functionalities provided by the NspiredED Service), and reproduce the content in the Premium Content Pack—including applicable NspiredED Originals—exclusively within the NspiredED Services and solely for educational purposes. No other rights or licenses are granted under these Terms.

NspiredED reserves the right to alter, modify, or discontinue any video lessons included in Premium Content Packs at its sole discretion and without liability. We will make our best efforts to ensure continued access to your subscribed video lessons. However, removal or discontinuation will only be a last resort when no viable alternative, such as replacement or modification, is available.

Premium Content Copyright

Except for the limited license granted to you, all rights, titles, and interests in Premium Content, including NspiredED Originals, belong to NspiredED and its licensors. For more details, refer to the “NspiredED Technology and Content Copyright” section of the Terms of Service.

NspiredED Professional These NspiredED Professional Supplementary Terms (“Professional Terms”) are part of NspiredED’s Terms of Service and govern the use of the NspiredED Professional service (“NspiredED Professional”).

NspiredED Professional is available exclusively to Teacher Accounts and is not accessible to children. In these Professional Terms, “you” and “your” refer to the company, institution, or legal entity purchasing a subscription, except in the “Admin” and “PD Creator” subsections, where they refer to the designated end-user.

NspiredED Professional is a premium, subscription-based service designed for asynchronous professional development within your institution’s network (“Network”) using NspiredED’s interactive video learning platform. If any aspect is not explicitly covered in these Professional Terms, the general Terms of Service apply.

Licensing Terms

By subscribing to NspiredED Professional, you receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the service. No other licenses or rights are granted under these Terms.

User Types and Roles

NspiredED Professional allows you to assign user roles based on your subscription. Each role grants different levels of access to features and functionalities. You are responsible for ensuring your authorized users understand these roles and their implications:

  • Admin: Manages the NspiredED Professional platform within your Network, including user roles, course assignments, and analytics. Admins can view all course progress and scores within the Network, regardless of who assigned the course. Any content an Admin imports from their “My Content” library to NspiredED Professional becomes visible to the entire Network. Upon account termination, all uploaded or created content transfers to the account owner.
  • PD Creator: Can create and assign courses, manage course analytics, and access teacher progress data. Like Admins, PD Creators’ imported content becomes visible to the entire Network, and all created content transfers to the account owner upon access termination.
  • Teacher: Can complete assigned courses and self-enroll in available NspiredED Originals. Admins and PD Creators can also act as Teachers for course completion. Admins and PD Creators may view Teachers’ enrollment, progress, and scores.

Certificates of completion for courses will include the name and information of the creator, as entered in the “Signature” field, and will be visible to users who complete the course and download the certificate.

Agreeing to Our Terms

Educational Institutions & Compliance Responsibilities

Educational institutions using NspiredED must ensure compliance with applicable privacy laws, including obtaining necessary parental or guardian consent when required.

U.S. Educational Institutions (COPPA & FERPA Compliance)
  • The Children’s Online Privacy Protection Act (COPPA) requires parental consent for collecting personal information from children under 13. However, in an educational setting, schools may act as an agent for parental consent (“School Consent”). The Family Educational Rights and Privacy Act (FERPA) prohibits schools from disclosing student records without consent, unless NspiredED is classified as a “school official” performing institutional functions.

Account Creation, Use & Security

To access and use certain features of the Service, you may be required to create an NspiredED account with a username, password, and additional contact information (“Login Credentials”). By creating and using an account, you affirm, acknowledge, and agree to the following:

  • You must provide accurate, truthful, and complete information and update it as necessary to maintain its accuracy. Each account is for individual use only.
  • Teacher Accounts are strictly for individual educators who have reached the legal age of adulthood in their jurisdiction.
  • You may not share your account or Login Credentials with any other person or entity, nor permit unauthorized access to your account.
  • You are solely responsible for maintaining the confidentiality of your Login Credentials and all activities conducted under your account. Any unauthorized use of your account must be reported to us immediately.
  • You may not create an account under another person’s name or impersonate any individual. Likewise, creating an account on behalf of someone else without their explicit permission is prohibited.
  • Account transfers to another person or entity are strictly prohibited without prior written consent from NspiredED.

In the event of unauthorized account usage, we reserve the right to take necessary action, including but not limited to temporary or permanent suspension of your account. If we detect account sharing of premium features (including Gold Teacher Accounts), we reserve the right to charge additional fees or subscription costs equivalent to the number of unauthorized users accessing the account. Additional penalties or fees may also apply for violations of these terms.

By using our Service, you agree to comply with these security measures and understand that failure to do so may result in account suspension, termination, or additional charges.

Using the Service

By accessing and using NspiredED, you agree to comply with the terms and conditions outlined in this Agreement. Subject to these terms, NspiredED grants you permission to access and use the Service you select through the applicable sign-up process.

Service Availability & Modifications

Our Service is intended for personal, non-commercial use. As we continually improve and refine our Services, we may introduce, modify, or discontinue certain features at our discretion. We reserve the right to:

  • Add, remove, or modify functionalities and features.
  • Suspend or terminate access to the Service if you fail to comply with this Agreement or if misconduct is suspected.

Your Pledge

By using NspiredED, you affirm, acknowledge, and agree that you will not submit any content (“User Submissions”) or use the Service in a manner that:

  1. Infringes upon, violates, or misuses another party’s intellectual property rights, rights of publicity, privacy rights, or any other legal rights.
  2. Violates any applicable international, federal, state, or local law, statute, ordinance, or regulation, or causes NspiredED to be in violation of any such laws or regulations.
  3. Contains content that is harmful, fraudulent, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable.
  4. Jeopardizes the security of your account by sharing access, disclosing your login credentials, or allowing unauthorized use of your account.
  5. Breaches any other terms and conditions set forth in this Agreement.

Additionally, you affirm, acknowledge, and agree that you hold all necessary rights to your User Submissions and grant NspiredED the rights to use them as outlined in this Agreement.

Your Information and Content

As you use NspiredED, you and other users may provide or post certain content or information (“User Submissions”), which NspiredED may use to operate and enhance the Service. Some User Submissions may be visible to other users, and when an educational institution uses the Service to manage student Educational Records, certain submissions may be classified as part of those records (as detailed in the “FERPA and Student Data” section below).

You retain full ownership rights to your User Submissions, and NspiredED does not claim ownership over them. However, if your educational institution, company, or organization has purchased a Pro license and provided you access to Pro features, ownership of intellectual property related to your content may be governed by your employment agreement or the organization’s internal policies. NspiredED is not responsible for decisions made by your institution, company, or organization regarding ownership of content associated with your account. Any disputes regarding ownership should be directed to the institution, company, or organization—not NspiredED.

Furthermore, NspiredED will not process deletion requests for Teacher Accounts or teacher-generated content made by an educational institution, company, or organization. Such matters should be handled internally according to institutional policies or employment agreements.

License to Use Your Content

To enable NspiredED to provide its Service, you grant us a limited, non-exclusive, sublicensable (as necessary to provide the Service), worldwide, royalty-free, and transferable (only to a successor) license to:Lorem ipsum dolor sit amet, consectetur adipiscing elit.   • Use, store, distribute, publicly display, modify, and create derivative works from User Submissions as needed to provide, improve, and make the Service available to you and others, including through future media formats.

  • Use de-identified User Submissions (including de-identified Educational Records) for product development, research, or other purposes.
  • Process User Submissions as outlined in our Privacy Policy.

You are responsible for ensuring that you have the necessary rights to submit your content and grant these licenses to NspiredED.

 
Content Deletion & Retention

The above license will terminate when you delete User Submissions that include intellectual property rights (e.g., photos, videos) or personal information, or when your institution deletes an Educational Record. However, if your content has been shared with others who have not deleted it, or if it remains part of an Educational Record still under institutional control (e.g., co-teaching scenarios), it may persist.

If you wish to delete videos containing personal identifying information, please refer to the “How can I delete my account?” section in our Privacy Policy and follow the steps for requesting removal. When you delete content, it is removed in a manner similar to emptying a computer’s recycle bin. However, residual copies may persist in backups for a reasonable time, though they will not be accessible to others.

User Responsibility & Content Access

All content posted or transmitted through the Service is the responsibility of the user who provided it. NspiredED is not liable for errors, omissions, or inaccuracies in any content. Additionally, while we take measures to authenticate users, we cannot guarantee the identity of individuals you interact with while using the Service. However, our system ensures that student user accounts can only interact with their assigned teacher, preventing direct student-to-student interactions.

By using the Service, you acknowledge that all content accessed is at your own risk, including ensuring its appropriateness for your intended use. You are solely responsible for any damage or loss resulting from such access.

Content Moderation & Automated Processing

NspiredED does not guarantee that all User Submissions will be published and reserves the right to remove content at any time, for any reason, at our sole discretion, without liability. Our automated systems analyze User Submissions (including emails) to provide relevant product features, such as customized search results, spam filtering, and malware detection. This analysis occurs during transmission, receipt, and storage.

NspiredED will not analyze Educational Records for behaviorally-targeted advertising, but this does not limit our ability to use them for adaptive learning or customized student learning purposes.

We always welcome your feedback and suggestions about NspiredED, but you understand that we may use them without obligation to compensate you.

Ownership of NspiredED Teacher Accounts

Your NspiredED account belongs to you, regardless of the email address used during registration. However, if your educational institution, organization, or company disables your email address and you can no longer log in, NspiredED will not be able to recover your account.

If you access the Service through a Pro license purchased by another party (e.g., your school or employer for teaching purposes), that paying entity has the right to manage access to the paid features and receive usage reports related to them. However, they do not have ownership or control over your personal account.

Additional Terms by User Types
For Students

If you are a student using the NspiredED Service at the invitation of a teacher or school official, the following terms apply:

  • Only students invited by a teacher, school, or district may use the Service. Unauthorized access is not permitted.
  • We collect minimal personal information from students, as outlined in our Privacy Policy. Students should not provide any additional personal information beyond what is requested during sign-up.
  • Under the Children’s Online Privacy Protection Act (COPPA), online services cannot knowingly collect personally identifiable information from children under 13 years of age without verifiable parental consent or notice where applicable. NspiredED only collects, uses, shares, and retains student information as authorized by the educational institution, agency, or teacher.
For Teachers, Aides, and Trainers
  • You acknowledge that COPPA restricts the collection of personal information from children under 13 years old without parental consent. We collect, use, share, and retain student information only as authorized by the educational institution or teacher.
  • You confirm that your Institution has provided consent (“School Consent”) for children under 13 to use the Service. If parental consent is required by law, you or the Institution must:
    • Distribute and collect valid consent forms from parents before granting student access.
    • Maintain a record of received consent forms.
    • Immediately notify NspiredED if a parent revokes consent, ensuring the student’s access is discontinued and their data is no longer available.
  • You agree that you are authorized to enter into this Agreement on behalf of your Institution and to use the Service as part of your curriculum.
  • You are responsible for managing and updating your student list, ensuring students are only retained in your classroom as needed for educational purposes.
  • To ensure privacy, security, and optimal performance, you will instruct students to use the latest version of the NspiredED app available on the Apple App Store or Google Play Store.

Only current employees of the Institution may use the Service on its behalf. If a teacher, aide, trainer, or staff member leaves the Institution, they must:

  • Cease using all login credentials and student access immediately.
  • Return all student records and related access credentials as per institutional policies.

NspiredED is not responsible for any misuse of the Service by Institution personnel or for any failure of staff to return or discontinue access to student data or login credentials upon employment termination.

Co-Teaching

Any disputes arising between teachers participating in a co-teaching class must be resolved among themselves or with the intervention of their educational institution, company, or organizationNspiredED will not intervene in such conflicts and holds no liability for any misconduct by teachers in a co-teaching class.

By setting up a co-teaching class within the Service, all participating co-teachers agree to be equally and solely responsible for managing the class, as outlined in the Co-Teaching section of our Privacy Policy.

FERPA and Student Data

Certain student-related information provided to NspiredED by school personnel may be considered an Education Record under the Family Educational Rights and Privacy Act (FERPA). Other information, such as a student’s name and grade level, may be classified as Directory Information, which is not considered an Education Record.

Under FERPA:

  • Schools cannot disclose personally identifiable information from a student’s Education Records without written consent from a parent or eligible student, unless an exemption applies.
  • Exemptions include the Directory Information Exemption (allowing disclosure of designated student information) and the School Official Exemption (permitting disclosures to school officials with a legitimate educational interest).

As school personnel or an Institution providing Directory Information or Education Records to NspiredED, you acknowledge and affirm that your Institution has:

NspiredED will not share Education Records with third parties except:

  1. At the direction of an authorized user (e.g., a teacher sharing records with another teacher or parent).
  2. With third-party service providers required for operating the Service, as outlined in our Privacy Policy.

Additionally:

  • Education Records are never used or disclosed for third-party advertising or any form of behaviorally targeted advertising.
  • Personal information collected directly from students is never sold, rented, or disclosed for marketing purposes.
  • NspiredED may use de-identified student data for research, product development, or improvement. All personal identifiers will be removed, and NspiredED will not attempt to re-identify this data or transfer it to third parties unless they agree to the same restrictions.
GDPR/UK GDPR and Minors

Under Article 8 of the General Data Protection Regulation (GDPR), minors can only give valid consent for data processing if they are 16 years or older, unless a lower age limit (not below 13 years) has been set by a Member State. Similarly, in the UK, online services must obtain parental consent for children under 13 years old, as per the UK Data Protection Act 2018.

By using NspiredED, you affirm that you or your Institution have obtained all necessary parental or eligible student consent when consent is the lawful basis for processing student data, solely to enable the operation of the Service.

  • Decompiling, reverse-engineering, or attempting to access the source code of any NspiredED Technology.
  • Using the Service in any way that infringes on NspiredED’s intellectual property rights.

Your use of the Service does not grant you ownership of any intellectual property rights within NspiredED Technology. Any unauthorized use of NspiredED Marks or NspiredED Originals is strictly prohibited. Additionally, you must not remove, obscure, or alter any copyright or legal notices displayed on or within the Service.

You may download a single copy of the NspiredED App for personal, non-commercial use only.

Use Restrictions & User Responsibilities

NspiredED strives to provide a safe and secure platform, but maintaining this requires user cooperation. By using the Service, you agree to the following:

Security & Integrity
  • Use the Service only in compliance with the law.
  • Do not share, sell, or transfer your Login Credentials to any person or entity.
  • Keep your Login Credentials confidential and report any unauthorized access immediately.
  • Do not attempt to collect or access the personal data of other users without their consent.
  • Do not upload viruses, malicious code, or engage in any activity that could harm the platform.
  • Do not use automated tools (such as bots, scrapers, or spiders) to collect information from the Service.
Content & Conduct
  • Do not post or distribute unauthorized commercial content (spam, advertisements, etc.).
  • Do not impersonate NspiredED employees or misrepresent your affiliation with any entity.
  • Do not engage in bullying, harassment, intimidation, or any behavior that threatens or harms others.
  • Do not post or share:
    • Hate speech, discriminatory content, or explicit/violent material.
    • Copyrighted content without permission from its rightful owner.
    • Political propaganda or misleading information.
Prohibited Activities
  • Do not engage in unlawful marketing schemes (e.g., pyramid schemes).
  • Do not misuse the Service in any way that disrupts other users’ access.
  • Do not attempt to disable or impair the platform through denial-of-service attacks or interference.
  • Do not use the Service for commercial exploitation in a way that undermines NspiredED’s reputation.
  • Do not facilitate or encourage violations of this Agreement.
Student Account Policy

Students using the Service at the direction of an educational institution or teacher may not create Teacher Accounts unless explicitly permitted by NspiredED.

Violating any of these policies may result in restricted access or permanent termination of your account, as outlined in the “Account Bans” section.

Content Moderation and Removal

To uphold the integrity of our Service, all uploaded videos undergo a combination of automated and manual review to ensure compliance with our Agreement and to maintain a safe and respectful environment.

Moderation Process
  • All videos are monitored and filtered before being made available to users.
  • Videos flagged for containing inappropriate content will be removed from the Service and will not be available for assignment or viewing.
  • NspiredED reserves the right to remove content at its discretion, without liability to the uploader.
Reporting Inappropriate Content

While we strive for accuracy in content moderation, no system is flawless, and some content may be overlooked. If you encounter a video that you believe violates our guidelines, please report it by emailing Customer Support at [email protected].

Account Bans

To maintain a safe and respectful community, NspiredED enforces strict moderation policies. If your account is found to have violated our rules, it may be subject to suspension or a permanent ban, depending on the severity of the offense.

  • Suspension: A temporary restriction on your account, after which access may be restored.
  • Ban: A permanent action that cannot be lifted, preventing any future access to NspiredED.

If your account has been suspended or banned, you will be unable to sign in. For more information, you may contact Customer Support at [email protected]. While we will provide a general reason for the action taken, we do not engage in further discussion or appeals. All bans and suspensions result from a thorough review by our moderation team. Therefore, all decisions are final and non-disputable.

Pricing, Billing, and Cancellation

Platinum School Plans and Other Services

Platinum School plans and other service subscriptions are subject to the terms specified in issued quotes and invoices. Any aspects not explicitly covered in these documents shall be governed by these Terms of Service.

  • Subscription fees for the NspiredED Platinum School Plan and other services, including applicable taxes and potential transaction fees, are charged as a one-time payment for a one-year subscription (“Initial Term”).
  • The subscription automatically renews for successive one-year periods (“Renewal Term”) unless otherwise agreed upon in writing between NspiredED and the purchasing educational institution, company, or organization.
  • To the extent permitted by law, all fees paid for services, including the Platinum School Plan, are non-refundable.
  • NspiredED does not provide refunds or credits for purchased services.
Gold Teacher Plans

This section outlines the subscription fees for the NspiredED Gold Teacher Plan:

  • Billing Cycle: Subscription fees for the Gold Teacher Plan, along with any applicable taxes and transaction fees, will be charged monthly to your selected payment method on the same calendar day that your paid subscription began. You can view your next payment date under the “Payments” section on the “Plan” page of our website.
  • Authorization Requests: To verify your payment method, a $0 or $1 authorization request may be sent to your issuing bank. This is not a charge and will automatically disappear within a few minutes to a few weeks, depending on your bank.
  • Cancellation: You may cancel your Gold Teacher Plan at any time. Your premium access will remain active until the end of your current billing periodPayments are non-refundable, and no refunds or credits will be issued for partial-month subscriptions.
    • To cancel, visit the “Plan” page and follow the cancellation instructions.
    • Upon cancellation, your premium access will be revoked at the end of your billing period.
    • If you change your mind before your billing cycle ends, you can reactivate your subscription by selecting “Reactivate” on the Plan page.
    • Deleting your NspiredED account will also result in automatic cancellation of your subscription.
  • Price and Plan Changes: NspiredED reserves the right to update subscription plans and pricing. Any changes will take effect no sooner than 30 days after you receive notice.
  • Upgrading to a Platinum School Plan: If your educational institution, company, or organization purchases a Platinum School Plan and provides you with a license, your Gold Teacher Plan will be automatically canceled at the end of your current month. Your account will then be integrated into the Platinum School Plan.
  • Electronic Communications: All billing-related communications (such as invoices and renewal notices) will be sent electronically to the verified email address associated with your account.
  • Receipts: You can download detailed payment history, including billing amounts, addresses, and payment dates, in the “Plan” page under “Payments”.

Miscellaneous

Social Media

NspiredED may integrate features that allow you to interact with our service through Linked Accounts, such as social media networks or cloud storage services. If you choose to use these features, you grant NspiredED permission to access and use your  Linked Account for processing your requests. Your use of Linked Accounts  is subject to the terms of the respective third-party services.

Indemnity

You agree to indemnify, defend, and hold harmless NspiredED, its parent companies, partners, subsidiaries, affiliates, officers, and employees from any damages, liabilities, losses, settlements, costs, and expenses (including reasonable attorney fees) arising from:

  1. Your use, misuse, or access of the Service.
  2. Your violation of this Agreement, including failure to obtain necessary consents or compliance with applicable laws and regulations.
  3. Any infringement by you (or anyone using your account) of intellectual property or any other rights of a third party, including User Submissions.
Copyright Protection

NspiredED is committed to protecting intellectual property rights and complies with the Directive (EU) 2019/790 on Copyright and Related Rights in the Digital Single Market, as well as the Digital Millennium Copyright Act (“DMCA”). We respond promptly to notices of alleged copyright infringement that adhere to these regulations.

If you believe that your copyrighted work has been posted on NspiredED without authorization, you may submit a copyright infringement notification. The fastest and most efficient way to do so is by completing the form available at the bottom of this article in our Help Center. The completed and signed form should be sent to [email protected]. Before submitting a notice, please consider whether fair use, fair dealing, or a similar exception to copyright law applies. Important Notice: Only the copyright owner or an authorized agent may submit a takedown request. NspiredED reserves the right to remove any allegedly infringing content without liability to the user who posted it. Additionally, we may terminate, without prior notice, the accounts of users who are determined to be repeat copyright infringers. We also retain the right to terminate user access under circumstances we deem appropriate, including for a single instance of alleged infringement.

Third-Party Integrations, Websites, and User Interactions

The NspiredED platform may integrate with third-party applications or tools to enhance user experience. By using these integrations, you acknowledge that the following third-party services are governed by their respective terms and policies:

  • YouTube API – Access and browse YouTube videos via NspiredED (governed by YouTube Terms of Service).
  • Explain Everything – Use interactive whiteboard features, including screen recording (governed by Explain Everything Terms of Use).
  • Google Classroom – Manage student progress and classroom activities (governed by Google Terms of Service).
  • Microsoft Teams – Collaborate using chat, document sharing, and virtual meetings (governed by Microsoft Terms of Use).
  • Clever – Utilize single sign-on (SSO) for classroom technology (governed by Clever Terms of Service).
  • ClassLink – Manage identity and access for educational tools (governed by ClassLink Terms of Service).
  • Learning Management Systems (LMS) – NspiredED-compatible LMS platforms (Canvas, Schoology, Moodle, Blackboard, PowerSchool, Blackbaud) are subject to their respective terms of service.

Additionally, NspiredED may include links to third-party websites not owned or controlled by us. By accessing these sites or interacting with third parties through our platform, you do so at your own risk. NspiredED assumes no responsibility for the content, accuracy, privacy policies, or practices of third-party sites.

User Interactions and Disputes
  • User Responsibility: You are solely responsible for interactions with other users and third parties through the NspiredED platform. We do not monitor or guarantee the behavior, information, or data shared by other users.
  • No Obligation to Intervene: NspiredED reserves the right, but is not obligated, to become involved in disputes between users.
  • Release of Liability: If you have a dispute with one or more users, you release NspiredED and its affiliates, officers, directors, employees, and agents from any claims, demands, and damages arising from such disputes, including loss of profits, goodwill, data, or privacy violations.
  • California Residents: If you are a California resident, you expressly waive California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which, if known, would have materially affected their settlement with the debtor or released party.” If you reside outside of California, you waive any similar applicable state statutes.

By using the NspiredED platform, you agree to comply with these copyright policies and terms regarding third-party integrations, user interactions, and dispute resolution.

Publicity

By using NspiredED’s services, you grant NspiredED the right to use your company, institution, or legal entity’s name and logo for marketing and promotional purposes, in accordance with your provided branding guidelines. If you prefer not to be included as a reference, you may opt out by emailing [email protected].

Prize Draws and Promotions

NspiredED may periodically organize sweepstakes, contests, or other promotional activities (“Promotions”). Participation is voluntary and governed by separate terms or rules provided at the time of the Promotion. By participating, you agree to abide by those terms. Unless explicitly stated otherwise in the Promotion’s terms, the NspiredED Terms of Service and Privacy Policy will apply.

Export Compliance

The use of NspiredED services is subject to U.S. laws governing import, export, and usage restrictions. You agree not to export, re-export, transfer, or allow access to our services by any individual or entity:

  1. located in a country or region subject to U.S. territorial sanctions;
  2. listed on the U.S. Department of Treasury’s List of Specially Designated Nationals or similar U.S. government lists; or
  3. owned or controlled by individuals or governments subject to comprehensive sanctions (collectively, “Restricted Parties”). By accessing our services, you confirm that neither you nor the entity you represent is a Restricted Party.
Modifications to the Agreement

NspiredED may update these Terms to reflect changes in laws or services. We will notify you of significant changes via this page and/or through email (using your registered email address). Changes become effective either upon your continued use of the services or after 30 days from the posting date, whichever occurs first. Changes related to new features or legal compliance take effect immediately. If you disagree with the modified terms, you must discontinue use of the service. NspiredED will not alter how Education Records are used or shared under these Terms without prior notice and consent from the relevant school or institution.

Termination

This Agreement remains in effect while you use the Service. You may terminate your account at any time via your account settings or by contacting [email protected]. Parents and students must contact NspiredED through an authorized school official. NspiredED reserves the right to suspend or terminate your account for any reason, with or without notice, which may result in the loss of associated information. Upon termination, your right to use the Service ceases immediately. Certain provisions, including ownership rights, warranty disclaimers, and liability limitations, will survive termination.

Dispute Resolution

(A)Arbitration:To resolve disputes efficiently, both parties agree to binding arbitration, covering all claims related to these Terms, the Privacy Policy, or future modifications. By agreeing, both parties waive the right to a jury trial or class action participation.

(B) Exceptions: This arbitration clause does not prevent either party from pursuing individual claims in small claims court, regulatory enforcement actions, seeking injunctive relief, or filing intellectual property infringement claims in court.

(C) Arbitration Rules: Arbitration will be conducted under the American Arbitration Association (AAA) rules. Information is available at www.adr.org or by calling 1-800-778-7879.

(D) Notice Requirement: Before initiating arbitration, a written dispute notice must be sent via certified mail or email. Notices should be addressed to: NspiredED, Inc. 5173 Waring Rd, Suite 54, San Diego, CA 92120, USA

(E) Fees: NspiredED will reimburse arbitration filing fees unless the claim exceeds $10,000, in which case fees will be allocated per AAA rules. Arbitration hearings will take place in San Diego, California, unless otherwise agreed. If a claim is deemed frivolous, the initiating party must cover the fees.

(F) No Class Actions: Both parties agree to bring claims only in their individual capacity. Arbitration cannot be consolidated with other cases.

(G) Governing Law & Venue: California law governs these Terms. If arbitration is unenforceable, disputes must be litigated exclusively in San Diego, California.

(H) Severability: If any provision is found invalid, it shall be adjusted as necessary, without affecting the validity of remaining provisions.

(I) Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.

Legal Disclaimers NspiredED strives to provide high-quality services but does not guarantee uninterrupted or error-free operation. Services are provided “as is,” without warranties of any kind, including merchantability, fitness for a specific purpose, or non-infringement.

Disclaimer on AI-generated Content

NspiredED may use AI to generate content, such as lesson scripts for NspiredED Originals. While all AI-generated content undergoes human review, its AI involvement is disclosed. By using our services, you acknowledge and accept AI’s role in content creation.

Disclaimer of Warranties for Content

NspiredED disclaims all warranties regarding the suitability, accuracy, and compliance of provided content, including educational materials. It is your responsibility to verify that the content meets legal, regulatory, and educational standards applicable to your needs.

Limitation of Liability

 NspiredED is not liable for indirect, incidental, special, or consequential damages, including loss of profits, goodwill, data, or other intangibles, arising from service use. Total liability for all claims will not exceed the amount paid for service use in the past 12 months. These limitations apply to the fullest extent permitted by law.

Premium Content Packs

These Premium Content Packs Supplementary Terms (“Premium Content Packs Terms”) are part of NspiredED’s Terms of Service and apply to your use of the Premium Content service (“Premium Content” or “Premium Content Pack(s)”), which may include NspiredED Originals. NspiredED Originals are customizable video lessons curated by NspiredED. Some NspiredED Originals may be available at no cost, though access may be subject to geographic restrictions. Others require a Premium Content subscription. The availability of NspiredED Originals at no cost is solely at NspiredED’s discretion.

Unless otherwise stated in these Premium Content Packs Terms, the general Terms of Service apply, including provisions under “NspiredED Technology and Content Copyright” and “Disclaimer of Warranties for Content.”

Licensing Terms

When you subscribe to a Premium Content Pack, you receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use, modify (only within the functionalities provided by the NspiredED Service), and reproduce the content in the Premium Content Pack—including applicable NspiredED Originals—exclusively within the NspiredED Services and solely for educational purposes. No other rights or licenses are granted under these Terms.

NspiredED reserves the right to alter, modify, or discontinue any video lessons included in Premium Content Packs at its sole discretion and without liability. We will make our best efforts to ensure continued access to your subscribed video lessons. However, removal or discontinuation will only be a last resort when no viable alternative, such as replacement or modification, is available.

Premium Content Copyright

Except for the limited license granted to you, all rights, titles, and interests in Premium Content, including NspiredED Originals, belong to NspiredED and its licensors. For more details, refer to the “NspiredED Technology and Content Copyright” section of the Terms of Service.

NspiredED Professional These NspiredED Professional Supplementary Terms (“Professional Terms”) are part of NspiredED’s Terms of Service and govern the use of the NspiredED Professional service (“NspiredED Professional”).

NspiredED Professional is available exclusively to Teacher Accounts and is not accessible to children. In these Professional Terms, “you” and “your” refer to the company, institution, or legal entity purchasing a subscription, except in the “Admin” and “PD Creator” subsections, where they refer to the designated end-user.

NspiredED Professional is a premium, subscription-based service designed for asynchronous professional development within your institution’s network (“Network”) using NspiredED’s interactive video learning platform. If any aspect is not explicitly covered in these Professional Terms, the general Terms of Service apply.

Licensing Terms

By subscribing to NspiredED Professional, you receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the service. No other licenses or rights are granted under these Terms.

User Types and Roles

NspiredED Professional allows you to assign user roles based on your subscription. Each role grants different levels of access to features and functionalities. You are responsible for ensuring your authorized users understand these roles and their implications:

  • Admin: Manages the NspiredED Professional platform within your Network, including user roles, course assignments, and analytics. Admins can view all course progress and scores within the Network, regardless of who assigned the course. Any content an Admin imports from their “My Content” library to NspiredED Professional becomes visible to the entire Network. Upon account termination, all uploaded or created content transfers to the account owner.
  • PD Creator: Can create and assign courses, manage course analytics, and access teacher progress data. Like Admins, PD Creators’ imported content becomes visible to the entire Network, and all created content transfers to the account owner upon access termination.
  • Teacher: Can complete assigned courses and self-enroll in available NspiredED Originals. Admins and PD Creators can also act as Teachers for course completion. Admins and PD Creators may view Teachers’ enrollment, progress, and scores.

Certificates of completion for courses will include the name and information of the creator, as entered in the “Signature” field, and will be visible to users who complete the course and download the certificate.
